Terms of Service

These Terms of Service ("Terms") govern your access to and use of WhopScan ("Service", "we", "us", "our"), operated at whopscan.com. By creating an account or using the Service, you agree to be bound by these Terms in full. If you do not agree, do not use the Service.

1. Service Description

WhopScan is a third-party marketplace analytics platform. We collect and display publicly available data from the Whop marketplace, including product listings, company profiles, user counts, pricing, and reviews. We process this data into analytics, charts, trends, and AI-generated insights accessible through a subscription-based dashboard.

WhopScan is an independent product. We are not affiliated with, endorsed by, or partnered with Whop Inc. or any other third party whose data may appear on our platform.

2. Eligibility & Business Use

You must be at least 18 years old and capable of forming a binding contract to use this Service. By using WhopScan, you represent and warrant that you meet these requirements.

WhopScan is designed exclusively for business and professional use. By subscribing, you represent and warrant that you are acting in the course of your commercial or independent professional activity and not as a private consumer. Consumer protection regulations, including statutory cooling-off or withdrawal rights, do not apply to your use of this Service.

3. Account Registration

You must create an account using Google OAuth through our authentication provider (Supabase). You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access. We are not liable for any loss or damage arising from your failure to protect your account.

4. Subscriptions & Billing

Access to the dashboard requires a paid subscription. Plans are available at the prices listed on our pricing page (currently €47/month or €397/year). All prices are exclusive of applicable taxes (including VAT), which will be added at checkout where required by law. All payments are processed by Stripe. We do not store your payment card details.

  • Subscriptions automatically renew at the end of each billing period unless cancelled.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — no prorated refunds are issued for unused time.
  • We reserve the right to change pricing at any time. Price changes do not affect active subscription periods already paid for.
  • Promotional codes (e.g. "LAUNCH") apply only to the transaction in which they are redeemed and cannot be applied retroactively.

5. Refund Policy

All sales are final. Due to the nature of digital data access, we do not offer refunds, credits, or exchanges once a payment has been processed. By subscribing, you acknowledge that you are purchasing immediate access to the Service and waive any right to a cooling-off period to the fullest extent permitted by law.

6. Acceptable Use

You may use WhopScan data solely for your own personal or internal business purposes. You agree not to:

  • Resell, redistribute, sublicense, or publicly republish any data, analytics, or content from WhopScan.
  • Scrape, crawl, or use automated tools to extract data from the Service.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to harass, defame, or harm any individual, company, or product listed on the platform.
  • Share your account credentials or allow others to access the Service through your account.
  • Circumvent, disable, or interfere with any security or access-control features.
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.

7. Data Accuracy & No Reliance

All data, analytics, metrics, insights, AI-generated content, and any other information provided through WhopScan is provided strictly on an "AS IS" and "AS AVAILABLE" basis.

We make no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, timeliness, or fitness for any particular purpose of any data displayed on the platform. Data may be delayed, incomplete, estimated, calculated using approximations, or contain errors.

Specifically:

  • Revenue figures are estimates based on publicly available user counts and pricing data — they are not confirmed sales figures.
  • Growth rates, trends, and rankings are computed from scraped snapshots and may not reflect real-time marketplace conditions.
  • AI-generated insights, briefs, and recommendations are produced by third-party language models and may be inaccurate, misleading, or hallucinated.
  • Review analysis, sentiment scores, and health metrics are statistical approximations and should not be treated as definitive assessments.
  • Product, company, and creator information is sourced from public marketplace data and may be outdated or incorrect.

You acknowledge and agree that you use WhopScan data entirely at your own risk. You should independently verify any information before making business, financial, or investment decisions. WhopScan is not a financial advisor, business consultant, or investment platform. We accept no liability whatsoever for any business, financial, or investment decisions made on the basis of data, analytics, or insights provided by the Service.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We expressly disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free.
  • The data or results obtained through the Service will be accurate, reliable, or complete.
  • Any errors in the Service will be corrected.
  • The Service will meet your specific requirements or expectations.
  • The Service will be available at any particular time or in any particular location.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHOPSCAN, ITS OWNER, OPERATORS, AFFILIATES, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, business, or anticipated savings.
  • Loss of data or goodwill.
  • Business interruption.
  • Cost of substitute goods or services.
  • Any damages arising from decisions made based on data, analytics, or insights provided by the Service.
  • Any damages arising from unauthorized access to or alteration of your account or data.

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless WhopScan, its owner, operators, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any business or financial decisions you make based on data or insights from the Service; or (e) any dispute between you and any third party relating to data displayed on the platform.

11. Intellectual Property

All content, design, code, analytics methodologies, data compilations, visualizations, branding, and other materials on WhopScan are our intellectual property or are used under license. Your subscription grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Service for your own use. This license does not include the right to copy, reproduce, distribute, modify, or create derivative works from any content on the platform.

12. Confidentiality

Both parties agree to treat any non-public information disclosed during the course of the contractual relationship as confidential. This includes, without limitation, account data, usage patterns, and any proprietary analytics methodologies. Confidential information shall only be used for the purposes of this agreement and shall not be disclosed to third parties without the other party's prior written consent, except where required by law.

13. Third-Party Services

WhopScan integrates with third-party services including Supabase (authentication), Stripe (payments), OpenAI (AI insights), and Resend (email). Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

14. Service Availability & Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice, for any reason. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service. We do not guarantee any uptime, availability, or service level.

15. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, at any time, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including but not limited to Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) shall survive.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WhopScan operates, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WhopScan regarding your use of the Service and supersede all prior agreements, representations, and understandings.

19. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes take effect immediately upon posting. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
